European Life Settlement Association Publishes 2024 Edition of Master Agreement for Tertiary Transactions

[London, UK, 4th June 2024] –The European Life Settlement Association (ELSA), the leading European industry group promoting and supporting the life settlement industry, today published the 2024 edition of its Master Agreement for Tertiary Transactions (MATT).

ELSA’s MATT was originally published in 2019 and provides a standardised template for contractual processes in the life settlement industry’s tertiary market.

Since then, the document has evolved based on feedback from both long-standing participants in the life settlement industry and new firms. Notable new features in this 2024 edition include:

  • a Bill of Sale form
  • a fillable .pdf form
  • a step-by-step instruction packet for the MATT to assist new entrants in the market
  • tweaks to the representations, warranties and covenants to reflect changes in market practices since the first version.

“We are delighted to publish an update to the Master Agreement for Tertiary Transactions. The MATT has, since its inaugural edition, provided transparency and best practice to both investors and service providers involved in the tertiary market. This latest version continues the MATT’s evolution and serves the market better than ever before to provide more transaction efficiency and ultimately market trading liquidity,” said Brian Casey, Partner at Locke Lord and MATT Working Group Chair at ELSA.

“The ELSA MATT has brought a level standardization to tertiary transactions in the life settlements market that has significantly benefitted the market as a whole. The overwhelming majority of the firms that practice in this space were queried for their input into the changes, with most of the requests making it into the final version. The level of engagement in this process shows just how seriously market participants take the push for standardised processes and documentation in the life settlement industry,” added James W. Maxson, Partner at EM3 Law and ELSA MATT Working Group member.
